1. Acceptance of Terms
By accessing or using any website, product, application, or service provided by Mainvec Inc. ("mainvec," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.
These Terms apply to all visitors, users, and others who access or use our services, including our websites at mainvec.com and any related subdomains, our software products, and our consulting and technology services.
2. Description of Services
Mainvec Inc. provides technology products and consulting services, including but not limited to:
- Software products and applications (including Droy.ai, IULink, and other products)
- AI and LLM integration services
- Platform engineering and infrastructure services
- Connectivity and networking solutions
- Cloud independence and self-hosting consulting
- Custom software development
- Product strategy and design services
We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice.
3. User Accounts
Certain services may require you to create an account. You are responsible for:
- Providing accurate, current, and complete information during registration
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account.
4. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt our services, servers, or networks
- Reverse engineer, decompile, or disassemble any software provided by us, except where permitted by law
- Use our services to distribute malware, spam, or other harmful content
- Impersonate any person or entity, or misrepresent your affiliation
- Scrape, harvest, or collect information from our services without authorization
We reserve the right to suspend or terminate access to our services for violation of these terms.
5. Intellectual Property
All content, features, and functionality of our services — including but not limited to software, text, graphics, logos, icons, and design — are owned by Mainvec Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mainvec Inc.. You may not use these marks without our prior written permission.
Some of our products may be released under open-source licenses. In such cases, the applicable open-source license terms will govern your use of that software.
6. User Content & Data
Consistent with our Personal-First Computing philosophy, we believe you own your data. Specifically:
- You retain all ownership rights to content you create, upload, or store using our services
- You grant us a limited license to process your content solely as necessary to provide and improve our services
- We will not sell, share, or use your content for purposes unrelated to providing our services
- Where our products store data locally on your device, that data remains entirely under your control
You are solely responsible for any content you submit and must ensure it does not violate any laws or third-party rights.
7. Subscriptions & Payments
Certain products or services may be offered on a subscription or paid basis. For paid services:
- Prices will be clearly communicated before purchase
- Subscriptions will renew automatically unless you cancel before the renewal date
- Refunds are handled on a case-by-case basis at our discretion, unless otherwise required by law
- We reserve the right to change pricing with reasonable notice
For consulting and custom development services, payment terms will be as specified in the applicable statement of work or engagement agreement.
8. Service Availability
We strive to maintain high availability for our services but do not guarantee uninterrupted access. Our services may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Emergency security updates
- Circumstances beyond our reasonable control
Enterprise customers with specific uptime requirements should contact us to discuss a Service Level Agreement (SLA).
9. Third-Party Services
Our services may integrate with or link to third-party services, including AI providers, cloud platforms, and other tools. These integrations are provided for your convenience and are governed by their respective terms and privacy policies. We are not responsible for the content, accuracy, or practices of third-party services.
10. Privacy
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the practices described in our Privacy Policy.
11. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAINVEC INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) our services
- Any conduct or content of any third party on our services
- Any content obtained from our services
- Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to defend, indemnify, and hold harmless Mainvec Inc., its officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of a third party
- Any content you submit through our services
14. Termination
We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. You may also terminate your account at any time.
Upon termination:
- Your right to use our services will cease immediately
- We will make reasonable efforts to allow you to export your data before deletion, consistent with our data ownership principles
- Provisions that by their nature should survive termination will remain in effect, including ownership, warranty disclaimers, indemnity, and limitations of liability
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If negotiation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Provide notice through our services or via email for significant changes
Your continued use of our services after changes become effective constitutes acceptance of the revised Terms.
17. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy and any applicable service-specific agreements, constitute the entire agreement between you and Mainvec Inc..
Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
